Kim Warnica joined Marathon Oil Corporation in January 2021 as Senior Vice President and General Counsel and is responsible for legal, compliance, corporate communications and government relations. She was appointed as Executive Vice President, General Counsel and Secretary in March 2022.

Prior to joining Marathon Oil, Ms. Warnica was Executive Vice President, General Counsel, Chief Compliance Officer and Secretary of Alta Mesa Resources, Inc., responsible for the ethics and compliance, human resources, facilities, contract administration, corporate communications and legal functions of Alta Mesa.

Prior to Alta Mesa, Ms. Warnica served in several positions in the Marathon Oil legal department from 2016 to 2018, including Assistant General Counsel and Assistant Secretary. Prior to Marathon Oil, she served as Assistant General Counsel and Assistant Secretary at Freeport-McMoRan Oil & Gas (formerly Plains Exploration and Production Company).

Ms. Warnica started her career at Andrews Kurth LLP (now known as Hunton Andrews Kurth LLP) where she practiced corporate and securities law, representing a variety of clients in numerous transactional, securities and corporate governance matters.

Ms. Warnica is a member of the board of directors of NuScale Power Corporation.

She received a Bachelor of Science from Texas A&M and earned her J.D. from the University of Texas School of Law.
